1. Introduction and Agreement

These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "your") and Talentapy, S.A.P.I. de C.V. ("Talentapy", "we", "us", or "our"), a Mexican corporation.

By creating a Talentapy account, completing assessments, or using our Services, you agree to these Terms, together with our Privacy Notice.

If you do not agree to these Terms, do not use the Services.

Age Requirement:

You must be at least 18 years old to create an account and use Talentapy.

By using the Services, you confirm you are 18 years of age or older.

2. Definitions

"Assessment" means psychometric evaluations, personality tests, leadership assessments, sales assessments, video interviews, and other evaluation tools provided through the Platform.

"Organization" means any company, employer, recruiter, or other entity that invites you to complete assessments or requests access to your Talentapy profile.

"Your Data" or "Your Personal Data" means all information about you in your Talentapy profile, including:

Personal information (name, contact details, demographics)
Professional information (work experience, education, skills, compensation)
Assessment results and scores
Video/audio recordings from interviews
AI-generated insights and recommendations
Any other data you provide or that is generated about you

"Platform" means the Talentapy web-based and mobile platform for talent assessment and professional development.

"Services" means the Platform and all features, assessments, and services provided by Talentapy.

3. Services and Access

3.1 What Talentapy Provides

Talentapy provides:

Profile and Assessment Services:

Professional profile creation and management
Psychometric assessments (Personality, Leadership, Sales)
Video and audio interview tools
AI-powered career insights and development recommendations
Skills and competency tracking

Data Control Features:

Control over who can access your profile
Ability to grant and revoke access to Organizations
Data export and portability
Profile deletion options

Career Development:

Personalized growth recommendations
Market benchmarking insights
Skills gap analysis
Career pathway suggestions

3.2 Service Availability

We strive to keep the Services available 24/7, but we do not guarantee uninterrupted access. Services may be temporarily unavailable for maintenance, updates, or due to factors beyond our control.

3.3 Service Changes

We may modify, enhance, or discontinue features at any time. We will notify you of material changes that substantially reduce functionality.

4. Account Creation and Management

4.1 Creating Your Account

To use Talentapy, you must create an account by providing:

Full name
Email address
Password
Additional profile information (optional)

4.2 Account Security

You are responsible for:

Maintaining the confidentiality of your password
All activities that occur under your account
Notifying us immediately of any unauthorized use

We are not liable for losses from unauthorized account access if you fail to protect your credentials.

4.3 Account Accuracy

You must provide accurate and current information. You agree to update your information promptly if it changes.

4.4 One Account Per Person

You may only create one account. Multiple accounts for the same person are prohibited.

5. Free Services and Features

5.1 Free for Individuals

Talentapy's core services are free for individuals. You can:

Create and maintain your professional profile
Complete assessments when invited by Organizations
Access your assessment results and insights
Control who has access to your data
Export your data at any time

5.2 Organization-Paid Assessments

When an Organization invites you to complete assessments:

The Organization pays for the assessment
You complete the assessment for free
You receive your results and insights
The Organization receives access to your results (with your consent)

5.3 Self-Initiated Assessments

If you want to complete assessments without an Organization invitation, you may need to purchase assessment access separately. Pricing for self-initiated assessments (if available) will be clearly displayed before purchase.

5.4 Future Premium Features

We may offer optional premium features or subscriptions in the future. Any paid features will be clearly identified with pricing displayed before purchase.

6. Your Data and Privacy Rights

6.1 You Own and Control Your Data

This is the most important section:

You own your Personal Data within Talentapy
You control who can access it
You can revoke access at any time
You can delete your profile completely

We do not sell your Personal Data. Ever.

6.2 How We Use Your Data

Talentapy uses your data to:

Create personalized development recommendations
Compare your profile to market benchmarks
Improve AI models and platform features

Share With Organizations (Only With Your Consent):

When you complete an assessment from an Organization, they receive your results
When you grant an Organization access to your profile, they can view your information
You can revoke this access at any time

Anonymized Research and Improvement:

We create anonymized, aggregated data that cannot identify you
This helps improve assessments and create industry benchmarks
This data is never tied back to your identity

6.3 Your Privacy Rights

You have the following rights under data protection laws (GDPR, LFPDPPP, CCPA, etc.):

Right to Access:

View all your Personal Data at any time in your account
Request a copy of your data in machine-readable format

Right to Correction:

Update or correct your Personal Data anytime in your profile

Right to Deletion:

Delete your entire Talentapy profile and all associated data
Request deletion by contacting privacy@talentapy.com
We will delete your data within 30 days

Right to Data Portability:

Export your data in common formats (PDF, JSON)
Transfer your data to other services

Right to Restrict Processing:

Limit how we use your data for certain purposes

Right to Object:

Object to processing for marketing or research purposes

Right to Withdraw Consent:

Revoke consent for Organizations to access your data
Stop sharing your profile with any Organization

6.4 Data Retention

While Your Account is Active:

We retain all your data to provide Services
You control what Organizations can access

After Account Deletion:

We delete your Personal Data within 30 days
Some data may be retained for legal compliance (financial records, dispute resolution)
Anonymized data used for research cannot be traced back to you

Important About Organizations:

If an Organization downloaded your assessment reports before you deleted your account or revoked access, they may retain those downloaded copies
We cannot control or delete data Organizations downloaded to their own systems
Organizations must comply with their own data retention policies and applicable law

7. How Organizations Access Your Data

7.1 Two Ways Organizations Access Your Data

Option 1: Assessment Invitation

An Organization invites you to complete an assessment
You choose whether to participate
By completing the assessment, you consent to share results with that Organization
The Organization receives your assessment report

Option 2: Profile Access Request

You create a Talentapy profile independently
An Organization requests access to your existing profile
You choose whether to grant access
You can revoke access at any time

7.2 What Organizations See

When you grant an Organization access, they can see:

Your profile information (name, experience, education)
Your assessment results and scores
AI-generated insights about your strengths and development areas
Skills and competencies
Any information you choose to include in your profile

7.3 Organizations Can Download Reports

Important to understand:

When Organizations have access to your profile, they can download assessment reports as PDF or other formats. These downloads are point-in-time snapshots.

What this means:

If you update your profile later, their downloaded report doesn't update
If you revoke their access, they keep their downloaded reports
Downloaded reports are their business records (for hiring decisions, etc.)

Example: You complete an assessment for Company A in January. They download your report. In June, you complete a new certification and revoke Company A's access. They keep the January report, but they don't see your June updates.

7.4 Revoking Access

You can revoke an Organization's access at any time:

How to Revoke:

Go to your account settings
View "Organizations with Access"
Click "Revoke Access" for any Organization

What Happens When You Revoke:

The Organization loses access to your live profile
They cannot see any future updates you make
They retain previously downloaded reports (as explained above)
They cannot download new reports

7.5 No Access Without Consent

Organizations cannot access your Talentapy profile unless:

You complete an assessment they invited you to, OR
You explicitly grant them access to your profile

We will never share your data with Organizations without your consent.

8. Your Rights and Responsibilities

8.1 Your Rights

You have the right to:

Use Talentapy's free services
Complete assessments invited by Organizations
Control who accesses your data
Receive your assessment results and insights
Export your data at any time
Delete your account at any time
Not be discriminated against for exercising your privacy rights

8.2 Your Responsibilities

You agree to:

Provide Accurate Information:

Provide truthful information about yourself
Not misrepresent your education, experience, or qualifications
Update your profile when information changes

Use Services Appropriately:

Not use Talentapy for illegal purposes
Not attempt to hack, disrupt, or compromise the Platform
Not create multiple accounts
Not share your account credentials

Assessment Integrity:

Complete assessments honestly
Not use unauthorized assistance or tools during assessments
Not share assessment questions or content with others
Allow us to use webcam proctoring for certain assessments (if enabled)

Respect Others:

Not harass, abuse, or harm other users or Organizations
Not post inappropriate content in your profile
Not violate others' intellectual property rights

8.3 Prohibited Uses

You may not:

Use automated tools (bots, scrapers) to access the Platform
Reverse engineer or decompile any part of the Services
Sell, rent, or transfer your account
Use the Services to spam or send unsolicited communications
Attempt to gain unauthorized access to others' accounts
Use the Services in any way that violates applicable law

8.4 Assessment Proctoring and Anti-Cheating

For certain assessments, we may use:

Webcam monitoring to verify identity
Screen recording to prevent cheating
Browser lockdown to prevent accessing other resources
AI analysis to detect unusual patterns

Proctoring recordings are stored for 6 months, then deleted or anonymized.

By completing proctored assessments, you consent to these measures.

9. Intellectual Property

9.1 Your Content

You retain ownership of:

Your profile information
Your work samples or portfolio items you upload
Any content you create within the Platform

By using Talentapy, you grant us a limited license to:

Display your content within the Platform
Process your content to provide Services (AI analysis, recommendations)
Create anonymized data from your content

This license ends when you delete content or close your account.

9.2 Talentapy Property

Talentapy owns:

The Platform and all its features
Assessment content, questions, and methodologies
Scoring algorithms and psychological models
AI models and interpretation engines
Talentapy brand, logos, and trademarks
All anonymized and aggregated data

You receive no ownership rights to Talentapy property. All rights not expressly granted are reserved.

9.3 Assessment Results

Assessment results (your scores and reports) are generated by Talentapy's proprietary methodologies. You have the right to:

View and download your results
Share your results with others
Use results for personal career development

You may not:

Reproduce assessment questions or test items
Reverse engineer scoring methodologies
Create derivative assessments based on Talentapy content

10. Disclaimers and Limitations

10.1 Services Provided "As Is"

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Employment Guarantees

TALENTAPY DOES NOT GUARANTEE:

That you will be hired by any Organization
That Organizations will contact you
Specific assessment scores or results
Accuracy of AI-generated career recommendations
That Services will meet your specific requirements

Assessment results are tools for development, not guarantees of employment or career success.

10.3 Assessment Accuracy

While Talentapy assessments are based on validated methodologies:

Assessment results are not perfect predictors
They should be one factor among many in career decisions
Results may change over time as you develop
No assessment can capture the full complexity of a person

10.4 Organization Decisions

We are not responsible for:

Hiring decisions Organizations make
How Organizations use your assessment results
Organizations' compliance with employment or anti-discrimination laws
Job offers, rejections, or salary negotiations
Organizations' treatment of your data after they download reports

Organizations make their own employment decisions. We provide tools; we do not make hiring choices.

10.5 AI-Generated Content

AI-generated insights and recommendations:

Are based on patterns in data and may not always be accurate
Should be reviewed and validated by you
Are suggestions, not professional advice
May contain errors or biases we work to minimize

Use AI recommendations as one input in your career decisions, not as absolute truth.

10.6 Third-Party Integrations

If you connect third-party services (LinkedIn, Google, etc.) to Talentapy:

We are not responsible for those services' availability or accuracy
Those services have their own terms and privacy policies
Integration features may change or discontinue

10.7 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALENTAPY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICES SHALL NOT EXCEED $50 USD.

We are not liable for:

Indirect, incidental, or consequential damages
Lost profits, data, or opportunities
Damages arising from Organization decisions
Service interruptions or data loss
Third-party actions or content

Exceptions: This limitation does not apply to:

Our gross negligence or willful misconduct
Data protection violations where law prohibits limitation
Personal injury caused by our negligence
Liabilities that cannot be limited by law

11. Termination

11.1 Your Right to Terminate

You may close your account at any time by:

Using the "Delete Account" feature in your settings, or
Contacting support@talentapy.com

Upon account closure:

We will delete your Personal Data within 30 days
You lose access to all Services immediately
You will not receive refunds for any paid features (if applicable)

11.2 What Happens to Your Data After Termination

Data We Delete:

Your profile information
Your assessment results within Talentapy
Your account credentials
Your activity history

Data That May Be Retained:

Anonymized data used for research (cannot identify you)
Records required for legal compliance (financial, dispute resolution)
Backup copies for up to 90 days (then permanently deleted)

Data Organizations May Keep:

Assessment reports they downloaded before termination
Information they collected outside Talentapy
We cannot delete data from Organizations' systems

11.3 Talentapy's Right to Terminate

We may suspend or terminate your account if you:

Violate these Terms
Engage in fraudulent or illegal activity
Compromise assessment integrity
Harass other users or Organizations
Pose a security risk to the Platform

Before termination for violations:

We will notify you when reasonably possible
You may have an opportunity to cure the violation
For serious violations (fraud, hacking), we may terminate immediately

Upon termination by Talentapy:

We will provide 30 days to export your data (unless termination is for fraud/security)
Paid features (if any) are forfeited without refund for violations

11.4 Survival

These sections survive account termination:

Governing Law (Section 14)
Any provisions that by their nature should survive

12. Modifications

12.1 Changes to Services

We may modify, enhance, or discontinue Services features at any time. We will notify you of material changes through:

By using Talentapy, you agree to receive:

Assessment opportunities from Organizations

Manage communication preferences in your account settings.

13.2 Your Feedback

If you provide suggestions, ideas, or feedback about Talentapy, we may use them without obligation or compensation to you. Feedback becomes Talentapy property.

13.3 No Employment Relationship

Using Talentapy does not create an employment, agency, or partnership relationship between you and Talentapy or between you and any Organization.

13.4 Assignment

You may not transfer your account or these Terms to anyone else. We may transfer our rights and obligations under these Terms to another entity (e.g., in a merger or acquisition).

13.5 Severability

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary, and the remainder of the Terms remains in effect.

13.6 Waiver

Our failure to enforce any provision does not waive our right to enforce it later. Waivers must be in writing.

13.7 Entire Agreement

These Terms and the Privacy Notice constitute the entire agreement between you and Talentapy regarding your use of the Services.

13.8 Language

These Terms are written in English. Any translation is for convenience only. In case of conflict, the English version prevails.

14. Governing Law and Jurisdiction

14.1 Governing Law

These Terms are governed by the laws of Mexico, without regard to conflicts of law principles.

14.2 Jurisdiction

Any disputes arising from these Terms or your use of Services shall be resolved in the courts of Monterrey, Nuevo León, Mexico.

14.3 Dispute Resolution

Before initiating legal proceedings, we encourage you to contact us at legal@talentapy.com to attempt to resolve the dispute informally.

14.4 Consumer Protection Rights

Nothing in these Terms limits your rights under applicable consumer protection laws in your jurisdiction. If you are located in the EU, you have additional rights under GDPR. If you are in California, you have additional rights under CCPA.
